Foundations

Get the ground right, and voices thrive.

Voice lives in rooms. And every room is shaped by things most people never see: who can decide what, what the shareholders agreed, which policy applies, and the gap where nobody wrote anything down. Foundations is the commercial, legal and governance support that gets that ground right, so people can stand on it and speak.

It starts with The Loop

A map of how your organisation really runs

The Loop is our interactive Target Operating Model. Over a handful of working sessions it maps why your organisation exists, what it does, when things happen, how the work gets done and who decides. It links to the planning and PMO tools you already use, so it stays live after we leave.

Every answer carries a status: confirmed, proposed, to be confirmed, or gap. The gaps are the useful bit. A decision nobody is sure they’re allowed to make. A shareholder question that was always going to come up. A policy that exists in a drawer and nowhere else.

That’s where Foundations begins.

What we help with

Three kinds of support

Commercial

The terms you trade on. Heads of terms, customer and supplier contracts, pricing, and the commercial rules that sit behind a deal. Written in plain English by people who have sat on both sides of the table.

Legal

The company and its people. Statutory books, shareholders’ agreements, staff handbooks and the policies the law expects you to have. Where you need formal legal advice, it comes from our regulated law firm partners.

Governance

How decisions get made. Delegation of authority, decision rights, and the rules DAVE runs in the room, so every voice is heard and the record is clear.

The five Foundations

Buy one piece, or all five

Each one stands on its own. Together they’re the ground the rest of PowerVox works in.

The company

Statutory books

Your register of members, minutes and resolutions, kept up to date and ready for inspection.

With DAVE Decisions made in DAVE can go straight into the minutes.

Ownership

Shareholders’ agreement

Reserved matters, what happens if someone leaves, dies or breaches, and the rights each share carries.

With DAVE A decision over a red line goes to the shareholders to approve.

Who decides

Delegation of authority

Who decides what, and up to how much. From the Loop’s WHO page, a spreadsheet, or set up by hand.

With DAVE Every new decision is checked against it.

Compliance

Policies

Data protection, anti-bribery, modern slavery and the rest, written for how you really work.

With DAVE A decision about personal data brings in the DPO, by rule.

People

Staff handbook

HR policies built from your roles, your org chart and your logo, and your answers to our questions.

With The Loop Your roles and org chart shape who does what in the Loop.

Who we work with

We bring in the right people

Some gaps need a lawyer. Some need a technology change programme. Some need both, and a calm person in the middle keeping track of who’s doing what.

We partner with law firms and technology transformation companies, so each gap The Loop finds goes to whoever is best placed to close it. PowerVox keeps the thread. The map stays current, decisions are recorded, and nothing falls down the crack between two suppliers.

Law firm partners

Formal legal advice, regulated work, and specialist areas such as employment, data protection and corporate transactions.

Technology transformation partners

Systems, data and change programmes, joined up with your planning and PMO tools and the map The Loop has built.

How it works

From first look to firm ground

  1. 1

    First Look

Built in three working days from public information and one 60-minute conversation with you. It costs nothing.

  2. 2

    Map it

Six to twelve working sessions over about six weeks, then sign-off by a senior sponsor.

  3. 3

    Close the gaps

Foundations documents written with you, with partners brought in where the work needs them.

  4. 4

    Keep it current

A subscription keeps it up to date. When the law or your business changes, the documents change, and so do the rules DAVE runs.

Find out where the ground is soft.

A First Look shows you what’s confirmed, what’s assumed and what’s missing. Three working days and one conversation.
